Founder & Legal Director

Ryan Zahrai is the founder and Legal Director of Zed Law, bringing a unique blend of commercial, health, and international legal expertise to the firm’s leadership. With First Class Honours in Law, an MBA, and a background in psychology and health, Ryan’s career spans senior in-house counsel roles at Australia’s leading health and technology companies, including as Head of Legal at Eucalyptus and Lead Commercial Counsel at GenesisCare. In these roles, he advised on complex commercial, regulatory, and health sector matters, supporting rapid business growth and innovation in the healthtech sector.

Ryan’s legal experience is truly global, with formative work in Israel, Samoa, and Malaysia, where he contributed to legal education and indigenous land rights initiatives. He has also led legal teams in Israel and managed major deliverables for private equity–backed healthcare companies, giving him deep insight into the regulatory and commercial issues faced by startups and multinationals alike.

Known for his strategic, no-nonsense approach, Ryan delivers clear, actionable legal solutions and is recognised for building long-term partnerships with high-growth founders, investors, and businesses. He leads Zed Law’s decentralised team of senior lawyers across Australia and internationally, enabling agile, tech-driven legal services. Based in Sydney, Ryan is actively expanding Zed Law’s presence in the health, tech, and business ecosystems, drawing on his experience across commercial law, health, and innovation

Nandan Subramaniam is Head of Commercial at Zed Law, where he is recognised for his commercial acumen, adaptability, and commitment to delivering practical, business-focused legal advice. With an LLB (Hons) and Bachelor of Economics (Distinction) from UNSW, Nandan’s career spans top-tier firms, in-house counsel roles, and boutique practices. He began his legal journey at Ashurst, gaining deep experience in complex contracts, business transactions, and dispute resolution before moving in-house at a fast-growing fintech, where he led cross-functional teams on enterprise deals and regulatory compliance.

Nandan’s approach is defined by his ability to embed himself within clients’ businesses, providing real-time, solution-oriented advice that balances legal rigour with commercial pragmatism. He has successfully led clients through high-stakes cross-border transactions and is known for leveraging legal technology to drive efficiency and results. Recognised as a Future Legal Leader by Australasian Lawyer, Nandan is passionate about building accessible, tech-enabled models for legal service delivery and mentoring the next generation of lawyers.

Based in Byron Bay and Sydney, Nandan is integral to Zed Law’s decentralised, agile team, supporting founders, investors, and businesses across Australia and globally. Alex Antoniazzi – Co-Head of Disputes, Zed Law

Alex Antoniazzi is Co-Head of Disputes at Zed Law, bringing deep expertise in complex commercial litigation and dispute resolution. Prior to joining Zed Law, Alex was a senior associate in the Disputes and Investigations team at Allens, one of Australia’s leading top-tier law firms, where he advised major corporates and high-growth businesses on high-stakes disputes, regulatory investigations, and risk management strategies.

Alex is known for his strategic, commercially-minded approach—prioritising pragmatic solutions and negotiated outcomes wherever possible, but always ready to advocate vigorously in court when needed. He is valued by clients for his clear communication, responsiveness, and ability to distil complex legal issues into actionable advice.

Based in both London and Sydney, Alex is part of Zed Law’s decentralised, globally connected team, supporting clients across Australia and internationally. Arisha Arif – Co-Head of Disputes, Zed Law

Arisha Arif is Co-Head of Disputes at Zed Law, where she brings over seven years of experience navigating high-stakes commercial litigation and dispute resolution for startups, fintechs, senior executives, and global corporates. Previously a Senior Associate at King & Wood Mallesons and a disputes lawyer at Arnold Bloch Leibler, Arisha is known for her expertise in financial services disputes and IP law, as well as her innovative work in legal technology. She has also served as a Judicial Law Clerk at the Federal Court of Australia and is passionate about building legal tech tools to drive efficiency and results. Based between the UK and Australia, Arisha is valued for her strategic, solution-driven approach and her ability to deliver clear, actionable advice to clients across borders

Tina Masrour leads Zed Law’s migration practice, bringing over a decade of experience in Australian immigration law. Admitted to practice in NSW and Victoria, Tina has advised individuals and businesses—from SMEs to Fortune 500 companies—on all aspects of visa sponsorship, compliance, and complex migration challenges. Her approach is shaped by her own family’s migration story, fueling her commitment to social justice and inclusive legal practice. Tina is recognised for her strategic, empathetic guidance, her extensive pro bono work, and her ability to find creative solutions to complex immigration issues. She is based in Melbourne and is dedicated to helping clients achieve successful migration outcomes

International Trademarks & IP Counsel

Nina Shliapnikova is International Trademarks & IP Counsel at Zed Law, where she specialises in intellectual property protection and commercial law for high-growth businesses and technology companies. Admitted as a lawyer of the Supreme Court of New South Wales, Nina brings experience as Legal & Commercial Manager at Testfully and has a strong background advising on global trademark strategy, brand protection, and IP commercialisation.

Based in Sydney, Nina is valued for her practical, business-focused approach and her ability to deliver clear, actionable advice on complex IP and commercial matters. She is committed to helping founders and businesses safeguard their innovations and navigate the legal challenges of scaling in global markets.

Jonathan Hunter is Senior Commercial Counsel at Zed Law, with a distinguished career spanning senior in-house and private practice roles. Currently General Counsel and Company Secretary at Expert360, Jonathan has previously served as founding Company Secretary of the Tech Council of Australia and StartupAUS, and as Senior Commercial Lawyer at Woolworths Limited. His expertise covers commercial law, technology, and corporate governance, with a strong track record advising high-growth businesses and leading legal teams through complex transactions. Jonathan holds a BCom/LLB from UNSW and is based in Sydney

Andrew Dwyer is Senior M&A and Corporate Counsel at Zed Law, specialising in mergers and acquisitions, private equity, venture capital, and corporate law. Trained at premier international firms in New York and Sydney, including Sidley Austin and King & Wood Mallesons, Andrew has led multi-billion dollar transactions, investments, and joint ventures for global clients. He brings broad commercial skills from both private practice and in-house roles, including as senior legal counsel to an airline and advising startups on venture funding.
